Last Updated: May 2026

1. ACCEPTANCE OF TERMS

By accessing and using The Vault Pass website and services ("Service"), you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. USE LICENSE

Members of The Vault Pass are granted a license to download, use, and — where applicable — resell or rebrand the digital products available in the library. This platform is built specifically for digital entrepreneurs who intend to use PLR (Private Label Rights) and MRR (Master Resell Rights) products commercially. The scope of your license depends on the product type:

PLR (Private Label Rights) Products:

  • You may rebrand, edit, and resell PLR products as your own
  • You may claim authorship of modified PLR content
  • You may use PLR content in your own products, services, or marketing materials

MRR (Master Resell Rights) Products:

  • You may sell MRR products as-is and keep 100% of the profits
  • You may pass resell rights along to your buyers (where the specific product license allows)

All Products — General Restrictions:

  • You may NOT share your member login credentials with others
  • You may NOT redistribute raw product files directly from your membership account to non-members
  • You may NOT attempt to reverse engineer any platform software or tools
  • You may NOT remove platform copyright notices from non-PLR/non-MRR materials

3. DISCLAIMER

The materials on The Vault Pass are provided on an 'as is' basis. The Vault Pass makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties including, without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights.

4. LIMITATIONS

In no event shall The Vault Pass or its suppliers be liable for any damages (including, without limitation, damages for loss of data or profit, or due to business interruption) arising out of the use or inability to use the materials on The Vault Pass, even if The Vault Pass or an authorized representative has been notified orally or in writing of the possibility of such damage.

5. ACCURACY OF MATERIALS

The materials appearing on The Vault Pass could include technical, typographical, or photographic errors. The Vault Pass does not warrant that any of the materials on The Vault Pass are accurate, complete, or current. The Vault Pass may make changes to the materials contained on The Vault Pass at any time without notice.

The Vault Pass has not reviewed all of the sites linked to its website and is not responsible for the contents of any such linked site. The inclusion of any link does not imply endorsement by The Vault Pass of the site. Use of any such linked website is at the user's own risk.

7. MODIFICATIONS

The Vault Pass may revise these terms of service for The Vault Pass at any time without notice. By using this website, you are agreeing to be bound by the then current version of these terms of service.

8. GOVERNING LAW

These terms and conditions are governed by and construed in accordance with the laws of the United States, and you irrevocably submit to the exclusive jurisdiction of the courts in that location.

9. SUBSCRIPTION TERMS

Subscription plans renew automatically unless cancelled. You may cancel your subscription at any time through your account dashboard. Refunds for current billing periods are not provided except as outlined in our Refund Policy.

10. USER CONTENT

You represent and warrant that you own or have the necessary rights to all content you submit through The Vault Pass. By submitting content, you grant The Vault Pass a worldwide, non-exclusive, royalty-free license to use that content.

11. BUSINESS STARTER PLAN W/WEBSITE - OWNERSHIP AND TERMS

Website Ownership:

If you subscribe to the "Business Starter Plan w/Website," you are granted the right to operate and use a custom website for the duration of your active membership. You own the website content and customizations made during your membership. However, the domain name and website infrastructure remain the property of The Vault Pass and TheVaultPass.com.

Domain Ownership:

The domain name registered for your Business Starter Plan w/Website is owned by TheVaultPass.com. Upon cancellation of your membership or failure to maintain payment, The Vault Pass retains the right to:

  • Retain ownership of the domain name
  • Resell the domain to another user or third party
  • Redirect the domain to other services or properties
  • Modify or discontinue the domain at any time after access termination

Payment and Membership Renewal:

Your Business Starter Plan w/Website membership renews automatically each month on the date specified in your account. You are responsible for ensuring your payment method is current and valid to maintain uninterrupted access to your website.

Failed Payment - Grace Period:

If your monthly membership payment is declined or fails to process:

  • You will have 7 days to update your payment method and resolve the failed charge
  • The Vault Pass will send 3 notification emails alerting you that your membership payment has lapsed and providing instructions to update your payment
  • Failure to update your payment within 7 days will result in account suspension

Account Lockout - 10 Day Rule:

If payment is not received within 10 days of the failed charge:

  • Your website access will be immediately revoked
  • You will be locked out of your website and all associated accounts
  • All customer information, databases, and digital products stored on the website become the property of TheVaultPass.com
  • The domain name may be reclaimed and resold
  • You will have no further access to or claim over any data, content, or files associated with the website

Notification Process:

Before any access restriction or data reassignment occurs, The Vault Pass will send you 3 separate notification emails at the email address associated with your account:

  • Email 1: Sent immediately upon payment failure, alerting you that your membership payment has not been received and providing 7 days to update payment
  • Email 2: Sent at the 3-day mark, reminding you that 4 days remain to update payment before access is revoked
  • Email 3: Sent at the 7-day mark, final notice that you have until day 10 to update payment or your account will be locked

These notifications give you adequate opportunity to resolve the payment issue before any changes are made to your account, website access, or data ownership.

Data Ownership After Lockout:

Upon account lockout due to non-payment after 10 days, all data stored on your website including but not limited to:

  • Customer information and contact lists
  • Sales data and transaction records
  • Digital products and content files
  • Email lists and subscriber databases
  • Website customizations and branding

...becomes the exclusive property of TheVaultPass.com, and you relinquish all rights and claims to this information.

Reinstatement After Lockout:

If your account has been locked due to non-payment, you may contact support to discuss reinstatement options. However, there is no guarantee that your data or domain will be restored, as all information becomes the property of TheVaultPass.com after the 10-day lockout period. Reinstatement may require payment of additional fees and is at the sole discretion of The Vault Pass management.

Cancellation vs. Non-Payment:

Intentionally cancelling your membership is different from failing to pay. If you wish to cancel your Business Starter Plan w/Website membership, you must do so directly through your account dashboard. Upon cancellation, you will retain a reasonable grace period (as defined in our Subscription Terms) to download your data before the website is deactivated.

12. USER CONTENT

You represent and warrant that you own or have the necessary rights to all content you submit through The Vault Pass. By submitting content, you grant The Vault Pass a worldwide, non-exclusive, royalty-free license to use that content.
